SUSTAINABLE FINANCE DISCLOSURE REGULATIONS
OverviewAt Rosberg Ventures we are responsible investors – our venture ecosystem creates the conditions for growth. The Rosberg Ventures team has a strong values-based culture necessary to select and partner with high performing predominantly US based venture capital managers.Integration of sustainability risksA sustainability risk is any environmental, social or governance event or condition that, if it occurs, could cause an actual or a potential material negative impact on the value of the investment (“Sustainability Risks”). Sustainability factors include environmental, social and employee matters, respect for human rights, and anti-corruption and anti-bribery matters (“Sustainability Factors”).The fund that Rosberg Ventures II GP S.à r.l. (the “Manager”) manages invests in selected venture funds that are exposed to potential risks resulting from Sustainability Factors.For example, venture stage companies (particularly in the technology sector) are exposed to environmental risk resulting from measures intended to mitigate the impacts of climate change. Underlying venture stage portfolio companies may be in sectors and industries that consume significant energy and certain resources and that are significant contributors to global carbon emissions. Public, political and regulatory pressure on carbon emissions and the use of scarce resources, and the imposition of related negative externalities on markets and companies, could result in greater direct and indirect financial, regulatory and reputational costs and risks, which could in turn adversely impact returns from the underlying venture and growth stage portfolio companies, and therefore in turn impact returns to the venture capital funds that are invested in them, and therefore in turn adversely impact returns from the Partnership.Overall, the Manager believes that integrating Sustainability Risks and opportunities into its investment process, and including broader engagement and monitoring activities, should help to identify, manage, and mitigate such risks and lead to better long-term investment outcomes, but this is not guaranteed. The Manager also considers that the integration of Sustainability Risks into its decision-making processes is an important element in determining long term performance outcomes and is an effective risk mitigation technique.No consideration of adverse impacts of investment advice on sustainability factorsAdverse impacts are environmental and social implications of economic activities that are considered to have a negative effect on the world, whether the climate, environment, or society. The Manager considers various negative externalities during its investment process, as may be relevant and appropriate to a particular investment.However, at present the Manager does not consider the principal adverse impacts of its investment recommendations on Sustainability Factors as set out in Article 4 of SFDR. We use our own policies, procedures, and measures to assess the negative externalities of our investment recommendations on Sustainability Factors (and not those prescribed under the principal adverse impacts regime in SFDR) because, at present, they are more tailored to the investors in the Partnership and to the Partnership’s investments in venture capital funds.Although the Manager does not currently intend to consider the prescribed principal adverse impacts of its investment recommendations on Sustainability Factors within the meaning of Article 4 of SFDR, we review this position periodically.Remuneration PolicyThe Manager’s remuneration policy includes consideration of the integration of Sustainability Risks. Our remuneration practices are designed to promote sound and effective risk management and not to encourage risk-taking that is inconsistent with the risk appetite, strategy, and profile of our funds.Our remuneration policy includes consideration of non-financial metrics. These metrics may include whether or not staff have complied with (or supported or exceeded) effective risk management (including relating to Sustainability Risks), applicable regulatory rules (including relating to ESG), and our standards of behaviour, culture, and values. Consideration of these factors may form part of our staff performance assessment process. In addition, a proportion of staff variable remuneration may be deferred, allowing for adjustments in relation to risks that may not be apparent in the short term and materialise later, including Sustainability Risks.
